Memorandum of Understanding - MBAide Founders Clinic Partner Participation

This Memorandum of Understanding (“MOU”) sets forth the understanding between L’Associare and its Partners who participate in the MBAide Founders Clinic (“Clinic”).
1. Purpose
The Clinic is a free, small-group session hosted by L’Associare to support startup founders with practical guidance and insights. Partners are invited to contribute their expertise in a collaborative, educational capacity.
2. Client Relationship

All founders attending or introduced through the Clinic are clients and contacts of L’Associare.

Partners agree not to directly solicit, contract with, or accept business from Clinic founders outside of L’Associare without written consent.
3. Confidentiality
Partners will keep all information shared by founders or L’Associare confidential, including business strategies, data, and proprietary material. These obligations continue after the Clinic ends.
4. Role of Partner
Partners agree to:

Share professional, good-faith insights during sessions.

Refrain from presenting proposals, pricing, or service offers directly to founders.

Follow L’Associare’s Code of Conduct and professional standards.
5. Liability
Each Partner is responsible for their own comments and contributions. L’Associare does not guarantee any outcomes and is not liable for how advice is used by founders.
6. Governing Law
This MOU is governed by the laws of California, USA. Any disputes will be handled through mediation and arbitration consistent with L’Associare’s policies.
Acknowledgement
By participating in the Clinic, the Partner confirms their agreement to the terms outlined above.
