Waiver of Liability

Waiver of Liability and Disclaimer (Updated on April 16, 2026)

LAssociare Inc., including its MBAide platform (“L’Associare,” “we,” “our,” or “us”), provides a platform that connects independent business experts and advisors (“MBAides”) with founders and business clients (“Clients”) seeking strategic guidance.

By using the MBAide platform, participating in any clinic session, or engaging in any paid advisory session, you acknowledge and agree to the following:

1. Independent Contractors

MBAides operate as independent contractors. They are not employees, agents, partners, or representatives of L’Associare.

Any services provided by an MBAide are performed independently. L’Associare does not control the specific advice or recommendations provided by MBAides.

L’Associare’s role includes platform facilitation, engagement coordination, and administrative support.

2. Advisory Nature of Services

All clinic sessions, diagnostic evaluations, strategic recommendations, roadmap development, and advisory discussions are provided for informational and strategic planning purposes only.

No representation or guarantee is made regarding:

Revenue growth
Fundraising success
Business profitability
Investment outcomes
Operational performance
Market results

Clients retain sole responsibility for all business decisions, execution, and outcomes.

Nothing provided through the MBAide platform constitutes legal, tax, accounting, investment, or financial advisory services.

L’Associare facilitates structured advisory support but does not assume responsibility for business execution or outcomes.

Clients acknowledge that MBAide Associates are independent professionals and are responsible for the advice and recommendations they provide.

3. No Guarantee of Results

L’Associare and MBAides do not guarantee specific results or outcomes from participation in any clinic session or advisory engagement.

Business performance depends on numerous external factors beyond the control of L’Associare or MBAides.

Clients acknowledge that they are responsible for performing their own due diligence before implementing any recommendation.

4. Limitation of Liability

To the maximum extent permitted by law:

L’Associare shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to the use of the MBAide platform or participation in any clinic or advisory session.

For the avoidance of doubt, L’Associare may facilitate payment for services delivered by MBAide Associates, and its liability shall be limited to the portion of fees retained by L’Associare.

Under no circumstances shall L’Associare be liable for business losses, lost profits, loss of funding, or opportunity costs.

5. Platform Role and Service Delivery

L’Associare facilitates advisory engagements between Clients and MBAide Associates and is responsible for engagement structuring, client matching, and payment processing.

MBAide Associates are independent professionals engaged through L’Associare to deliver advisory services. MBAide Associates are responsible for coordinating session scheduling directly with Clients.

While L’Associare facilitates the engagement, it does not control the specific advice, recommendations, or services delivered, and does not guarantee specific outcomes or results.

L’Associare may conduct diagnostic sessions led by its representatives to assess the Client’s business for the purpose of understanding context, identifying areas of focus, and structuring potential engagements. Such diagnostic sessions are limited to information gathering and evaluation and do not constitute the provision of strategic or business advice. All substantive advice and recommendations are provided by MBAide Associates.

MBAide Associates are solely responsible for the advice, recommendations, and services they provide.

L’Associare may facilitate payment for services delivered by MBAide Associates but does not assume responsibility for the delivery of such services.

6. Non-Circumvention

Clients and MBAide Associates agree not to bypass, circumvent, or attempt to bypass L’Associare in connection with any engagement introduced through the MBAide platform.

All services, engagements, or business relationships arising from an introduction made through L’Associare must be conducted through L’Associare unless otherwise agreed in writing.

Clients agree not to engage MBAide Associates directly for services introduced through L’Associare without prior written consent.

L’Associare reserves the right to seek appropriate remedies, including recovery of fees, in the event of a breach of this provision.

This provision shall survive termination of any engagement for a period of twelve (12) months from the date of the last interaction between the Client and the MBAide Associate, after which the parties may engage independently.

During this period, any direct engagement between the Client and the MBAide Associate may only occur with L’Associare’s prior written consent and may be subject to a fee.

7. Payment Terms

Payments are due prior to the delivery of services unless otherwise agreed in writing.

Certain sessions, including structured roadmap or advisory sessions, require prepayment. Payment confirms reservation of the session.

Paid sessions are non-refundable once delivered.

If at least 24 hours’ notice is provided, sessions may be rescheduled at L’Associare’s discretion.

Failure to attend a scheduled session without notice may result in forfeiture of the session fee.

8. Assumption of Risk

Clients acknowledge that entrepreneurship and business advisory involve inherent risk.

By participating in MBAide clinics or advisory sessions, Clients voluntarily assume all risks associated with implementing strategic recommendations.

9. Indemnification

Clients and MBAide Associates agree to indemnify and hold harmless L’Associare from any claims, liabilities, damages, costs, or expenses, including reasonable attorney fees, arising out of:

Their use of the platform,
Their business decisions,
Any services, advice, or conduct of an MBAide Associate,
Any agreement entered into between a Client and an MBAide Associate.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

The parties agree to attempt to resolve any dispute through good faith negotiation and mediation. If unresolved, disputes shall be resolved as set forth in the applicable agreement between the parties.

11. Acceptance of Terms

By using the MBAide platform, participating in any clinic session, or submitting payment for a paid advisory session, you acknowledge that you have read, understood, and agree to these Waiver of Liability and Advisory Terms.
