Supplemental Terms of Service - MBAide Founders Clinic

These Supplemental Terms of Service (“Supplemental Terms”) apply to all MBAide Associates and MBAide Partners (Partners) participating in the MBAide Founders Clinic and are incorporated into the MBAide Membership Terms of Service. In case of conflict, these Supplemental Terms govern all matters related to the Founders Clinic.

1. Purpose of the Founders Clinic

The MBAide Founders Clinic (“Clinic”) is a free, small-group session facilitated by L’Associare to provide startup founders with guidance, advice, and learning from vetted MBA professionals. Participation in the Clinic does not constitute a formal consulting engagement, and all client relationships remain the sole property of L’Associare.

2. Client Relationship & Non-Solicitation

The MBAide Associate or Partner acknowledges that all founders introduced, invited, or connected through the Founders Clinic are clients and contacts of L’Associare.
The MBAide Associate or Partner agrees that they shall not, directly or indirectly:

• Solicit, accept, or engage in paid or unpaid consulting work with any Clinic founder outside of L’Associare;

• Circumvent the platform’s commission structure;

• Independently contract with Clinic participants for additional services without L’Associare’s knowledge and written consent.

Any such conduct will be deemed a material breach of both these Supplemental Terms and the MBAide Membership Terms of Service, and may result in immediate termination of membership, removal from the platform, forfeiture of fees, and potential legal action.

This non-solicitation obligation shall survive completion or termination of the Clinic.

 

3. Confidentiality

The MBAide Associate or Partner must maintain strict confidentiality regarding:

• All founder and client information shared during or after the Clinic;

• Business strategies, data, or sensitive material disclosed by founders;

• Any proprietary information of L’Associare.

These obligations extend indefinitely and are enforceable under the Confidentiality provisions of the MBAide Membership Terms of Service.

4. Role of the MBAide Associate or Partner in the Clinic

The MBAide Associate or Partner agrees to:

• Provide professional, good-faith advice, insights, and suggestions during the Clinic;

• Refrain from offering formal proposals, pricing, or separate service arrangements during or after the Clinic, except through L’Associare;

• Conduct themselves in a manner consistent with L’Associare’s Code of Conduct and community standards.

 

5. Limitation of Liability

The MBAide Associate or Partner is solely responsible for the accuracy, appropriateness, and professionalism of any advice given during the Clinic.
L’Associare makes no guarantees regarding outcomes of advice shared and assumes no liability for claims, disputes, or dissatisfaction arising from Clinic discussions.

 

6. Governing Law & Dispute Resolution

These Supplemental Terms are governed by the laws of the State of California, USA. Disputes between the MBAide Associate (or Partner) and L’Associare shall be resolved in accordance with the dispute resolution provisions of the MBAide Membership Terms of Service.

Acknowledgement
By participating in the MBAide Founders Clinic, the MBAide Associate or Partner affirms they have read, understood, and agree to be bound by these Supplemental Terms of Service.
