MBAide Mentorship Program Terms of Service

Effective Date: April 27, 2025

These Terms of Service ("Agreement") govern your participation in the MBAide Mentorship Program ("Program"). By enrolling and participating as a mentee, you agree to comply with and be bound by the following terms:

1. Program Participation and Benefits

1.1 Mentorship Program Benefits

As a participant mentee in the MBAide Mentorship Program, you will receive:

Structured client engagement exposure through real-world consulting scenarios
Two (2) group mentorship sessions per month led by senior MBAide mentors
One (1) monthly group branding session with Team L'Associare and Sam the Branding Coach
Featured profile visibility on the MBAide website for the duration of the 3-month program
Free client matchmaking services during the program term

Please note:

One-on-one personalized coaching sessions and individual LinkedIn profile reviews are not included.
Mentees start the program as Level 1 MBAide Associates. Upon successful completion, mentees will be promoted to Level 2 MBAide Associates should they enroll in MBAide Premium membership.
Mentees who maintain their Premium Membership and complete an additional 3-month mentorship term will advance to Level 3 MBAide Associate status, making them eligible for more competitive project opportunities.

2. Program Fee and Payment

2.1 Mentorship Program Fee

Participation in the Program requires a one-time, non-refundable payment:

$149 USD for mentees who are not enrolled in Premium Membership.
$59 USD for mentees who are active Premium Members at the time of enrollment.

2.2 Premium Membership Requirements for Current Premium Members

If you are an active Premium Member enrolling in the mentorship program, you must maintain your Premium Membership for the full 3-month mentorship term.

2.3 Transition After Completion

Upon completing the Program, mentees who are not already Premium Members may choose to enroll in Premium Membership to continue accessing enhanced services, visibility, and client engagement opportunities, with the option to participate in an additional 3-month mentorship term if they wish.

3. Client Engagements, Commission-Based Projects, and Payment Handling

3.1 Client Matchmaking

Mentees are eligible for free client matchmaking during the 3-month program.
All client introductions must be facilitated exclusively through L’Associare.

3.2 Commission-Based Projects, Payment Handling, and Non-Disclosure Agreement (NDA)

When an MBAide is matched with a paying client:

L’Associare facilitates introductions, proposal reviews, and payment processing.
A 30% commission fee or a $300 minimum (whichever is greater) applies to all paid projects resulting from L’Associare-facilitated introductions.
All contracts and payments must be handled exclusively through L’Associare’s administrative systems.
MBAides may not invoice or contract directly with clients introduced through L’Associare.
MBAides must not bypass or exclude L’Associare from engagements. Breach of this obligation may lead to removal from the platform and legal action.
L’Associare’s role is administrative only; it assumes no responsibility for the services rendered or the project outcomes beyond its commission handling.

Additionally, all MBAides agree to maintain strict confidentiality regarding any client information under a Non-Disclosure Agreement (NDA), which survives program completion.

4. Community and Platform Conduct

All mentees must adhere to our Community Rules.
Violations may result in warnings, suspension, or permanent removal from the platform.

5. Intellectual Property and Copyrighted Materials

5.1 Use of Intellectual Property

It is illegal to use, replicate, or distribute any intellectual property, including but not limited to copyrighted materials, logos, trademarks, or platform content, without explicit written consent from L'Associare or the rightful owner.
Violations may result in immediate suspension or termination from the Program.

6. Waivers and Disclaimers

6.1 Waiver of Liability (Platform-Wide)

By participating in the MBAide platform and mentorship program, you agree to waive any and all liability against L’Associare for any loss, damage, injury, or claim arising from your use of the platform, client engagements, or third-party interactions.

6.2 Waiver of Liability (Specific to Services)

L’Associare provides services including matchmaking, mentorship and branding sessions "as is" and does not guarantee success, project outcomes, or financial results.
You agree that L’Associare is not liable for any results from such services.

7. Cancellation Policy

7.1 Participant Cancellation

If you withdraw from the mentorship program after payment, no refunds will be issued. Your enrollment is non-transferable.

7.2 Termination by L'Associare

L’Associare reserves the right to suspend or terminate your participation for violations of these Terms, misconduct, or breach of community standards. No refunds will be issued.

8. Dispute Resolution

In the event of a dispute arising under these Terms, the parties agree to first attempt informal mediation.
If mediation is unsuccessful, binding arbitration will occur under the laws of the State of California.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict of law principles.

10. Responsibility for Legal Costs

If any participant initiates legal proceedings against LAssociare INC and does not prevail, the participant will be responsible for reimbursing all legal costs, attorney fees, and associated expenses incurred by L’Associare.

11. Changes to Terms of Service

L’Associare reserves the right to update or modify these Terms at any time. Changes will be communicated to participants. Continued participation constitutes acceptance of any updates.
