MBAide by L’Associare (aka MBAide) Basic and Premium Membership Terms of Service

These Terms of Service ("Agreement") govern your participation in the MBAide membership program ("Membership"). By joining and using the MBAide platform, you agree to comply with and be bound by the following terms:

1. Membership Benefits

​

1.1 Premium Membership Benefits
As a Premium Member, you receive access to the following services:

​

  • Full access to the MBAide platform: Unlock all resources, tools, and networking opportunities.

  • Profile Promotion: Your profile will be promoted on the platform and social channels to increase visibility. Additionally, we may use your information to promote our services, showcasing your expertise as part of our offerings.

  • Client Matchmaking: Up to two free qualified client matchmaking services per month. Additional client matchmaking services will be available at a fee or the fee may be waived at the discretion of L’Associare, as outlined below. As part of our Premium Membership, MBAides will gain priority consideration for client matchmaking services. We aim to connect you with the right opportunities that align with your expertise and goals. While we strive to provide 1 to 2 client introductions per month depending on demand and availability, we are committed to ensuring quality matches that benefit both you and the clients. Our focus is on fostering meaningful, value-driven connections that help you grow your professional network and freelance career.

  • LinkedIn Profile Reviews: Premium members are entitled to up to two quarterly LinkedIn profile reviews per paid subscription year. The first review is available immediately upon activation of a paid Premium subscription. To qualify for the second review, members must maintain paid Premium membership for at least three consecutive months. LinkedIn reviews must be used within the 12-month subscription period and do not roll over to subsequent subscription years. Additional reviews are available at a fee.

  • Personalized Support: Once a month, receive a 15-minute session for one-on-one guidance when faced with a business challenge. These sessions must be used during the active subscription period and cannot be accumulated for future use or carried over to future billing cycles.

  • Exclusive Access: Participate in mastermind sessions, coaching opportunities, premium training, and virtual events.

1.2 Basic Membership Benefits (Available to previous Premium members only)

Basic Members have access to limited features, including:

​

  • Basic Platform Access: Access to essential resources and tools on the MBAide platform.

  • Paid Access to Additional Services: Ability to purchase client matchmaking services, select webinars, LinkedIn profile reviews, and other promotional services not included in the Basic Membership.
     

1.3 Premium Member Responsibilities

As a Premium Member, you are expected to actively contribute to the MBAide community in order to maintain the collaborative and supportive nature of the platform. This includes engaging regularly on Slack, WhatsApp, and LinkedIn; liking, sharing, and reposting MBAide and L’Associare content across social media; attending MBAide Speaker Series events; mentoring other MBAides or contributing meaningfully to community discussions; and being available and committed to meeting with clients while maintaining timely, respectful, and professional communication at all times.

2. Membership Fees and Payments

​

2.1 Premium Membership Fees

The Premium Membership subscription fee is billed monthly on a recurring basis. Payments are due on the designated billing date. Members can request to switch from a monthly to an annual subscription at any time. The update will take effect at the start of the next billing cycle. However, if members do not complete the enrollment for the annual plan, their monthly subscription will continue as usual. For annual subscriptions, the membership will automatically renew annually unless the member opts to switch to a monthly plan before the renewal date.

 

2.2 Commission-Based Fee Structure
Once a member begins securing paid client engagements, they will shift to a commission-based fee structure. At that point, L’Associare will take a commission on the total project value, and the membership fee will be waived.

3. Service Limitations and Fees

​​​3.1 Client Matchmaking and Other Services

Premium Members are entitled to the following free services:

  • Up to two qualified client matchmaking services per month.

  • Up to two quarterly LinkedIn profile reviews per subscription year.

  • One 15-minute one-on-one guidance session per month.

​

Once these free services are used, additional services such as client matchmaking and LinkedIn reviews are available for an additional fee. Fees for these services will be communicated upon request, and payment must be made before the services are provided.

​

3.2 Basic Members

Basic Members will need to pay for all client matchmaking, LinkedIn reviews, and for services that are otherwise not included in the Basic Membership.

3.3 Waiver of Liability (Specific to Services)
L'Associare provides the services described in this section as part of its platform offerings but does not guarantee their quality, success, or effectiveness. Members acknowledge and accept that L'Associare is not liable for any advice, outcomes, or results arising specifically from these services (e.g., client matchmaking, LinkedIn reviews, personalized sessions).

3.4 Commission-Based Client Engagements, Payment Handling, and Non-Disclosure Agreement

When an MBAide is matched with a paying client through the MBAide platform, the following terms apply:

  • L’Associare facilitates all aspects of the engagement, including client introductions, proposal review, and payment processing.

  • A 30% commission, or a $300 USD minimum (whichever is greater), will apply to all paid projects up to $10,000 resulting from introductions facilitated by L’Associare.
    For projects exceeding $10,000, a reduced commission rate will apply on the amount beyond $10,000 to ensure fair, competitive pricing for larger engagements.

  • All contracts and payments must be processed exclusively through L’Associare’s platform and administrative systems. The MBAide may not invoice or contract directly with clients introduced by L’Associare.

  • MBAides must not bypass, circumvent, or exclude L’Associare from any current or future engagements with clients initially introduced through the platform. Any such action constitutes a breach of these Terms and may result in immediate termination of membership and potential legal action.

  • L’Associare’s role in these engagements is administrative only, and limited to facilitating introductions, collecting commissions, and managing agreed-upon contracts. L’Associare assumes no responsibility for services rendered or outcomes of MBAide-client engagements and limits its liability to the commission fee received.

  • The MBAide agrees to maintain strict confidentiality regarding all sensitive, proprietary, or personal information exchanged during any client engagement. These Non-Disclosure Agreement (NDA) obligations survive termination of this membership.

4. Intellectual Property and Copyrighted Materials

 

4.1 Use of Intellectual Property
It is illegal to use any intellectual property, including but not limited to copyrighted materials, logos, trademarks, and content from the MBAide platform, without the explicit consent of the owner. Violating this policy may result in suspension or termination of your membership.

5. Waiver and Disclaimer

 

5.1 Waiver of Liability (Platform-Wide)

By using the MBAide platform, you agree to waive any and all liability against L'Associare for any loss, damage, injury, or claim arising from your use of the platform or any service offered, including but not limited to third-party interactions and general platform features.

 

5.2 Disclaimer of Warranties
L’Associare provides all its MBAide services "as is" and does not guarantee any specific results from using the platform, client matchmaking, or other services. We make no representations or warranties of any kind regarding the accuracy, reliability, or completeness of the services provided.

5.3 Responsibility for Legal Costs
If any member initiates a lawsuit against L’Associare for any reason, the member shall be solely responsible for all legal costs, including but not limited to attorney fees, court costs, and any related expenses incurred by L’Associare.

6. Dispute Resolution

​

6.1 Mediation and Arbitration
In the event of any dispute, claim, or controversy arising out of or in connection with this Agreement, the parties agree to first attempt to resolve the issue through informal mediation. If mediation fails, the dispute will be settled through binding arbitration. By agreeing to these Terms, you waive the right to participate in any class action lawsuit or class-wide arbitration against LAssociare INC.

6.2 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles.

7. Community Rules and Code of Conduct


All members of the MBAide platform are expected to adhere to our Community Rules, which outline the standards for respectful and professional conduct within our community. These rules are designed to ensure a positive and productive environment for all members.

Please review our Community Rules here. By using the MBAide platform, you agree to comply with these rules. Violations may result in warnings, suspension, or termination of your membership, at the discretion of L'Associare.

8. Membership Termination

​

8.1 Cancellation
You may cancel your Premium membership at any time.  Once canceled, your Premium Membership benefits will remain accessible until the end of your current billing cycle, whether monthly or yearly. No refunds will be provided.

8.2 Suspension or Termination by L’Associare

L’Associare reserves the right to suspend or terminate your membership for violations of these Terms of Service or for illegal activity. In such cases, you will forfeit any paid membership fees.​​​

9. Changes to Terms of Service

L’Associare reserves the right to modify or amend these Terms of Service at any time. You will be notified of any changes, and your continued use of the platform will constitute your acceptance of those changes.
