MBAide by L’Associare (aka MBAide) Membership Terms of Service

Effective Date: February 01, 2025 (updated on April 15, 2026)

Defined Terms: LAssociare Inc. (“L’Associare,” “we,” “our,” or “us”).

These Terms of Service ("Agreement") govern your participation in the MBAide membership program ("Membership"). By joining and using the MBAide platform, you agree to comply with and be bound by the following terms:

1. Membership Benefits
As a member, you receive access to the following services:

Full access to the MBAide platform: Unlock all resources, tools, and networking opportunities.
Profile Promotion: Your profile will be promoted on the platform and social channels to increase visibility. Additionally, we may use your information to promote our services, showcasing your expertise as part of our offerings.
Participation in MBAide Founders Clinic: Join live sessions where founders share their challenges and MBAide Associates collaborate to provide solutions. A chance to showcase your skills, gain experience, and build connections.
Networking and Training Opportunities: Connect with peers, mentors, and industry experts while sharpening your business and consulting skills.
Potential Client Introductions: Receive introductions to founders and businesses seeking MBA-level expertise, opening doors to paid consulting opportunities.

2. Membership Fees and Payments

2.1 Membership Activation Fee

A one-time, non-refundable activation fee of $75 is required to initiate MBAide membership. This fee covers administrative setup, account activation, and onboarding support. Payment of the activation fee is due at the time of registration and must be completed before access to membership benefits is granted.

2.2 Commission-Based Fee Structure
Once a member begins securing paid client engagements, a commission-based fee structure will apply. At that point, L’Associare will take a commission on the total engagement or project value.

3. Service Limitations and Fees

3.1 Waiver of Liability (Specific to Services)
L’Associare provides the services described in this section as part of its platform offerings but does not guarantee their quality, success, or effectiveness. Members acknowledge and accept that L’Associare is not liable for any advice, outcomes, or results arising specifically from these services (e.g. MBAide Founders Clinic, client introductions, mentorship program).

3.2 Client Engagements, Payment Handling, and Non-Disclosure Agreement

Engagements facilitated through L’Associare may be structured as either commission-based introductions or L’Associare-managed engagements, as outlined below.

When an MBAide Associate is matched with a client through the MBAide platform, the following terms apply:

3.2.1 Commission-Based Engagements

In standard engagements facilitated by L’Associare:

L’Associare facilitates introductions, proposal coordination, and payment processing.
A 30% commission, or a $300 USD minimum (whichever is greater), applies to all paid engagements or projects up to $10,000 resulting from introductions facilitated by L’Associare.
For engagements exceeding $10,000, a reduced commission rate may apply to the amount beyond $10,000.
L’Associare will deduct its applicable commission from client payments prior to disbursing the remaining amount to the MBAide Associate.
All contracts and payments must be processed exclusively through L’Associare’s platform and administrative systems.
MBAide Associates may not invoice or contract directly with clients introduced through the platform.
MBAide Associates must not bypass, circumvent, or exclude L’Associare from any current or future engagements with clients introduced through the platform, during the engagement and for a period of 12 months thereafter. Any such action constitutes a breach of these Terms and may result in termination and potential legal action. This restriction applies regardless of whether L’Associare is actively involved in the engagement or delivery of services.
During the restricted period, any direct engagement with a client introduced through L’Associare may only occur with prior written consent and may be subject to a fee.

The commission structure may vary depending on the nature of the engagement. In certain cases, L’Associare may structure pricing differently and retain a fee as part of the overall engagement.

In commission-based engagements, L’Associare acts solely as an administrative intermediary and payment facilitator, and does not assume responsibility for the services rendered or outcomes achieved by MBAide Associates.

3.2.2 MBAide-Managed Engagements

For certain engagements, L’Associare may structure and coordinate client engagements:

L’Associare will define the scope, pricing, and overall structure of the engagement.
MBAide Associates may be engaged to support the delivery of services as part of the engagement.
All client payments will be made to L’Associare, who will compensate MBAide Associates accordingly.
Compensation to MBAide Associates will be determined by L’Associare based on the structure of the engagement.
MBAide Associates may not independently contract, invoice, or negotiate fees with the client for such engagements.
L’Associare may coordinate communication, scheduling, and overall engagement flow.

MBAide Associates acknowledge and agree that they operate as independent contractors and are solely responsible for the manner, method, quality, and delivery of their services.

L’Associare does not supervise, direct, or control how services are performed and does not provide professional oversight or instruction. Associates are responsible for exercising their own professional judgment at all times.

MBAide Associates acknowledge that L’Associare does not guarantee any results or client outcomes. All services are provided at the MBAide Associate’s sole professional discretion and risk.

L’Associare makes no representations or warranties regarding the quality, accuracy, completeness, or effectiveness of any services provided. L’Associare’s liability, if any, shall be limited to the fees actually retained by L’Associare in connection with the engagement. L’Associare’s role is limited to engagement structuring and coordination and does not include the provision of advisory services.

All advisory services are provided independently by MBAide Associates, who are solely responsible for their advice and recommendations.

MBAide Associates agree to indemnify and hold harmless L’Associare from any claims arising out of their services, advice, conduct, or any breach of their obligations under these Terms.

L’Associare acts as a platform provider and administrative intermediary and does not provide professional advisory services directly.

3.2.3 Non-Disclosure and Confidentiality

MBAide Associates agree to maintain strict confidentiality regarding all sensitive, proprietary, or personal information exchanged during any client engagement.
These Non-Disclosure Agreement (NDA) obligations survive termination of membership.

3.2.4 Scope of Applicability

These Terms apply only to engagements facilitated, structured, or administered through L’Associare. L’Associare assumes no responsibility for any independent engagements entered into outside of the platform.

4. Intellectual Property and Copyrighted Materials

4.1 Use of Intellectual Property
It is illegal to use any intellectual property, including but not limited to copyrighted materials, logos, trademarks, and content from the MBAide platform, without the explicit consent of the owner. Violating this policy may result in suspension or termination of your membership.

5. Waiver and Disclaimer

5.1 Waiver of Liability (Platform-Wide)

By using the MBAide platform, you agree to waive any and all liability against L'Associare for any loss, damage, injury, or claim arising from your use of the platform or any service offered, including but not limited to third-party interactions and general platform features.

5.2 Disclaimer of Warranties
L’Associare provides all its MBAide services "as is" and does not guarantee any specific results from using the platform, client matchmaking, or other services. We make no representations or warranties of any kind regarding the accuracy, reliability, or completeness of the services provided.

5.3 Responsibility for Legal Costs
In the event of a dispute, the prevailing party may be entitled to recover reasonable legal fees and costs, to the extent permitted by law.

6. Dispute Resolution

6.1 Mediation and Arbitration
In the event of any dispute, claim, or controversy arising out of or in connection with this Agreement, the parties agree to first attempt to resolve the issue through informal mediation. If mediation fails, the dispute will be settled through binding arbitration. By agreeing to these Terms, you waive the right to participate in any class action lawsuit or class-wide arbitration against L’Associare.

6.2 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles.

7. Community Rules and Code of Conduct
All members of the MBAide platform are expected to adhere to our Community Rules, which outline the standards for respectful and professional conduct within our community. These rules are designed to ensure a positive and productive environment for all members.

Please review our Community Rules here. By using the MBAide platform, you agree to comply with these rules. Violations may result in warnings, suspension, or termination of your membership, at the discretion of L'Associare.

8. Membership Termination

8.1 Cancellation
You may cancel your membership at any time. Once canceled, your membership benefits will remain accessible until the end of your current billing cycle (if applicable), whether monthly or yearly. No refunds will be provided.

8.2 Suspension or Termination by L’Associare

L’Associare reserves the right to suspend or terminate your membership for violations of these Terms of Service or for illegal activity. In such cases, you will forfeit any paid membership fees.

9. Changes to Terms of Service

L’Associare reserves the right to modify or amend these Terms of Service at any time. You will be notified of any changes, and your continued use of the platform will constitute your acceptance of those changes.
